Insurance Due Diligence Checklist

The objective of insurance due diligence is to identify any unusual exposures to financial loss that could be "deal breakers" or add to price of the proposed acquisition. Generally speaking, the scope of the review is limited to property/casualty and employee benefits insurance matters. However, risk management specialists should coordinate their review with experts conducting the review of corporate governance practices, cases in litigation, legal and regulatory compliance, environmental remediation and such human resources matters as employment agreements, executive compensation, retirement and retirement savings plans and post retirment liabilities. Other possible "out of scope" risk exposures include market, credit, interest, commodity and other so-called enterprise risks.

The center piece of this Free Tool is an Insurance Due Diligence Checklist which you are welcome to download and, hopefully, use. Keep in mind that it is written from the viewpoint of a risk management consultant whose client is a buy-out firm. Risk managers should also be able to use it.

The Insurance Due Diligence Report

The principal deliverable of an M &A Due Diligence Review is a concise memorandum with an insurance schedule attached. The format utilized by Montclair Risk Advisors opens with a summary paragraph that states the scope and methodology of the review, identifies any deal-breaking or material matters that may have a material bearing on the price of the transaction.

Following this, we outline a strategy for bringing the insurance and risk management issues to closure. This will include discussion of the exceptional coverage matters and what the available options are — and what it will cost to make the corrective measures.

In the final section we list the tasks that need to be done before closing. The list typically will include recommended wording to be inserted into the closing agreement and advice as to how the recommended insurance placement is to be put into effect.
